Name Change After Naturalization and Subsequent LLC Formation: North African National Turned Japanese Citizen

Background

The client, originally from North Africa, had recently become a naturalized Japanese citizen. He was a representative member of an existing LLC in Yokohama alongside his business associate. Following his naturalization and legal name change, the client returned to our office to establish a new single-member LLC focused on artificial intelligence, data analytics, and software development services, with plans to contract with a US-based company.

Challenge

This engagement unfolded across two phases. In the first, the client’s naturalization was confirmed mid-process, requiring us to pivot from a simple address change filing into a combined application covering both the address change and the newly naturalized member’s legal name change — structured to minimize costs and processing time. In the second, the client presented a self-drafted set of Articles of Incorporation containing several issues requiring substantial revision, including a profit distribution clause that carried potential tax risks, an ambiguous English trade name format, and structural gaps in mandatory provisions. The engagement also required coordination with a social insurance consultant.

What We Did

In Phase 1, we prepared a unified registration application covering both changes, drafted bilingual documents, and filed successfully online. In Phase 2, we conducted a comprehensive review of the client’s draft Articles, restructured the profit distribution clause to preserve flexibility while achieving the client’s intended outcome, corrected the trade name format, and prepared all formation documents. We also coordinated with a social insurance consultant regarding the client’s plan to employ his spouse, ensuring a smooth handoff to the appropriate specialist.

Outcome

Phase 1 was completed within approximately two weeks from receipt of documents. Phase 2 proceeded from initial consultation to completed registration in approximately three weeks, with zero corrections from the Legal Affairs Bureau — a one-shot registration.
